The Isle of Man is a highly permissive jurisdiction for business formation: 100% foreign ownership is allowed with no residency requirements for directors or shareholders. Companies incorporated under the Companies Act 2006 face no minimum share capital, and standard incorporation takes 2–3 working days (same-day available for a surcharge). The principal procedural requirement is engaging a locally licensed registered agent holding a Class 4 licence from the Isle of Man Financial Services Authority.

Companies incorporated under the Companies Act 2006 have no minimum authorised or paid-up share capital; only one share must be issued at formation. (Legacy 1931 Act companies typically use a nominal £2,000 authorised capital attracting minimum capital duty.)
Every company formed under the Companies Act 2006 must appoint a registered agent holding a Class 4 licence issued by the Isle of Man Financial Services Authority under the Financial Services Act 2008. The registered agent files the incorporation application on behalf of the founders.
Standard incorporation takes 2–3 working days; a same-day service is available on payment of a surcharge. From 1 June 2025, a new online filing service replaced the previous email-filing option. At least one director must be appointed within one month of incorporation.
Under the Beneficial Ownership Act 2017, all beneficial owners must be disclosed to the Isle of Man Companies Registry. Registered agents conduct KYC verification on directors, shareholders, and ultimate beneficial owners before incorporation proceeds. From 31 December 2024, obliged entities can access the beneficial ownership database.
A company incorporated outside the Isle of Man that establishes a place of business or acquires land on the island must register as a foreign company under the Foreign Companies Act 2014 within one month of establishing that presence.
